§ In collaboration with senior management and establish M&A strategy, growth plan and target and transaction criteria.
§ Lead the execution of acquisitions companywide by working closely with operations, financial team, human resources team, legal team, growth team, integration team and external advisors.
§ Evaluate and improve due diligence process from sourcing of acquisitions through integration.
§ Manage and maintain toward an active transaction target list and pipeline, focusing on regular updates to key executives and Board members.
§ Manage the deal process from sourcing, initial offers, internal approvals, LOI negotiation, due diligence, legal document negotiation, funds flow and closing, and integration.
§ Participate in reviewing contracts for potential transactions and preparing presentations illustrating the transaction's consistency with the company's overall strategy. Review transaction rationale and documents to identify critical business issues and risks relating to a proposed transaction.
§ Cultivate relationships with the sellers and maintain regular communication throughout the process.
§ Prepare routine and ad hoc presentations and reporting packages for senior management and board review.
§ Work with operations and finance teams to prepare, analyze and explain historical and projected operational and financial information during diligence process to include: profit drivers, trends, run rate and tax structure to build valuation analysis, including financial modeling for acquisition targets.
§ Analyze critical factors that could impact the long-term sustainability of the target's post-deal growth and performance. Oversee the development of acquisition models used in the determination of offered purchase price. Ensure operational involvement at the appropriate stage in the acquisition process to provide seamless integration.
§ Evaluate consistency of the transaction with overall strategy of the Company. Review transaction rationale and documents to identify critical business issues and risks relating to a proposed transaction.
§ Work with sellers and their advisors, lawyers, and other internal contacts, to finalize various purchase documents. Manage all aspects of the closing requirements related to coordination of legal documents, suggestions to deal structure from a legal and financial perspective and communication to buy-side participants.
Qualifications
§ A college degree is required. Advanced degrees and certifications are a plus, ex: MBA / JD / CPA.
§ Experience in multi-site healthcare services in a corporate development / M&A group, private equity firm and/or investment bank.
§ A successful track-record of sourcing transactions and closing transactions timely, and ability to interact with potential sellers, external support (ex: legal, Quality of Earnings, etc.), internal operations, and senior leadership.
§ Valuation experience and the ability to be creative in acquisition alternatives. The successful candidate will have strong financial modeling ability and excellent analytical skills.
§ Transaction experience in executing financial and operational due diligence is necessary. The successful candidate will have experience balancing multiple acquisition timelines simultaneously.
§ An ability to travel for new opportunity meetings in addition to attending relevant state/regional conferences and other events as a part of pipeline development and relationship building.
